Terms of Service

1. Acceptance of Terms

By accessing or using the Commercial Vista platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all users, including brokers, referral partners, lenders, and business applicants.

2. Description of Services

Commercial Vista provides a software platform for loan brokerage management. The Platform enables brokers to originate, submit, and track business loan applications; referral partners to submit leads; and lenders to review and process deal submissions. Commercial Vista is a technology facilitator and is not a lender, creditor, or financial advisor. We do not make credit decisions and do not guarantee funding.

3. Eligibility and Accounts

•  You must be at least 18 years of age and legally authorized to enter into binding contracts to use the Platform.
• Broker accounts are subject to registration and approval by Commercial Vista.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to notify us immediately of any unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Broker and Partner Obligations

Brokers and referral partners using the Platform agree to:

• Submit only accurate, truthful, and complete information about themselves and their clients
• Obtain proper authorization from business applicants before submitting their information to the Platform
• Comply with all applicable federal and state laws governing loan brokerage, including any applicable licensing requirements in their jurisdiction
• Not misrepresent loan products, rates, fees, or terms to business applicants
• Not engage in deceptive, fraudulent, or predatory practices
• Maintain required professional licenses or exemptions for brokerage activity in their jurisdiction

5. Subscription Plans and Fees

The Platform offers both free and paid subscription tiers. Paid features are billed on a recurring basis as described at the time of enrollment.

• Subscription fees are non-refundable except as required by applicable law or as expressly stated at the time of purchase
• We reserve the right to change pricing with reasonable advance notice to subscribers
• Failure to pay may result in suspension or downgrade of your account to the free tier
• Payment processing is handled by a third-party provider (Stripe) and is subject to their terms and security standards

6. Commission and Referral Payments

Commission arrangements between brokers, referral partners, and lenders are governed by separate agreements executed through the Platform or directly between the parties. Commercial Vista is not a party to commission agreements and does not guarantee payment of commissions by any lender or broker. Any disputes regarding commissions are between the relevant parties and are not the responsibility of Commercial Vista.

7. Document Handling and Data

By uploading documents to the Platform, you grant Commercial Vista a limited, non-exclusive license to store, process, and transmit those documents solely for the purposes of facilitating your loan application or deal submission. You represent that you have the right to upload any documents submitted.

Financial documents and sensitive data are encrypted at rest and in transit. Refer to our Privacy Policy for details on data handling.

8. Electronic Signatures

The Platform supports electronic signature capabilities for partnership agreements and other documents. By signing a document electronically through the Platform, you agree that your electronic signature is legally binding and equivalent to a handwritten signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state laws.

9. Prohibited Uses

You agree not to:

• Submit false, fraudulent, or misleading information to the Platform
• Attempt to gain unauthorized access to any part of the Platform or another user’s account
• Use the Platform to facilitate money laundering, fraud, or any illegal activity
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Use automated bots, scrapers, or tools to access or extract data from the Platform
• Violate any applicable law or regulation in connection with your use of the Platform

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. COMMERCIAL VISTA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THAT ANY LOAN APPLICATION WILL RESULT IN APPROVAL OR FUNDING.

COMMERCIAL VISTA IS NOT RESPONSIBLE FOR THE ACTIONS, DECISIONS, OR CREDITWORTHINESS ASSESSMENTS OF ANY LENDER, BROKER, OR REFERRAL PARTNER ON THE PLATFORM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMMERCIAL VISTA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO COMMERCIAL VISTA IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Commercial Vista and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved by binding arbitration under the rules of the American Arbitration Association, unless you opt out within 30 days of accepting these Terms by contacting us in writing. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including Sections 10, 11, 12, and 13) shall survive.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date. Your continued use of the Platform after updated Terms are posted constitutes your acceptance. We encourage you to review these Terms periodically.
